Terms of Service

The terms and conditions that govern our working relationship.

1. Overview

These Terms of Service ("Terms") govern the relationship between Slateweave Ltd ("we", "our", "us") and you ("the Client") when you engage us for web design, development, or related digital services.

By commissioning work from Slateweave Ltd, you agree to be bound by these Terms. If a separate written agreement or proposal conflicts with these Terms, the written agreement shall take precedence.

Slateweave Ltd is registered in England and Wales. Our registered office is in Widnes, United Kingdom.

2. Services

Slateweave Ltd provides web design, web development, and related digital services. The specific scope, deliverables, timeline, and any bespoke requirements will be outlined in a project proposal provided before work begins.

We reserve the right to decline any project at our discretion. We may also subcontract elements of a project to trusted third parties, though we remain responsible for the quality and delivery of the work.

Our services typically include

  • Custom website design and development
  • Content management system (CMS) setup and training
  • Search engine optimisation (SEO) and performance tuning
  • Deployment, hosting configuration, and post-launch support

3. Quotations & Fees

All quotations are provided in writing and are valid for 30 days from the date of issue unless otherwise stated. Quotations are based on the scope of work discussed at the time and are subject to change if requirements change significantly.

All prices quoted are in British Pounds (GBP) and are exclusive of VAT unless explicitly stated otherwise. VAT will be applied at the prevailing rate where applicable.

Any work requested beyond the agreed scope will be quoted separately and must be approved by the Client before we proceed.

4. Payment Terms

Unless otherwise agreed in writing, the following payment schedule applies:

Invoices are due within 14 days of issue. We reserve the right to charge interest on overdue invoices at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

We will not transfer hosting, domain access, or source files until all outstanding invoices have been settled in full.

5. Intellectual Property

What you own

Upon full payment, all custom design work, code, and content created specifically for your project transfers to you.

What we retain

We retain the right to showcase the completed work in our portfolio, case studies, and marketing materials unless otherwise agreed in writing.

Third-party assets (such as stock photography, fonts, or plugins) remain subject to their respective licences. We will inform you of any third-party licence requirements that apply to your project.

Any pre-existing code, frameworks, or tools developed by Slateweave Ltd prior to or independently of your project remain our intellectual property. You are granted a perpetual, non-exclusive licence to use them as part of your delivered website.

6. Client Responsibilities

To ensure a smooth project delivery, the Client agrees to:

  • Provide all required content (text, images, logos, brand guidelines) in a timely manner
  • Designate a single point of contact with authority to provide feedback and approvals
  • Respond to requests for feedback within 5 working days, unless otherwise agreed
  • Ensure that all content provided is owned by or licensed to the Client and does not infringe on any third-party rights
  • Provide access to any third-party accounts (domain registrar, hosting, analytics) as needed

7. Revisions & Changes

Each package includes a specified number of revision rounds as outlined in the project proposal. A revision round is defined as a single set of consolidated feedback provided at one time.

Additional revisions beyond the included rounds, or changes to the agreed scope (such as adding new pages, features, or functionality), will be quoted separately at our standard hourly rate.

Good to know: We encourage clients to consolidate feedback into a single document or email per round to keep the process efficient and avoid miscommunication.

8. Timelines & Delays

Estimated timelines are provided in good faith and are based on prompt provision of content, feedback, and approvals from the Client. We will make every reasonable effort to meet agreed deadlines.

We are not liable for delays caused by late content delivery, delayed feedback, scope changes, or circumstances outside our reasonable control (force majeure).

If a project is paused by the Client for more than 30 days without prior arrangement, we reserve the right to treat the project as complete, invoice for all work done to date, and require a new proposal to resume.

9. Termination

Either party may terminate the agreement by providing written notice. In the event of termination:

10. Limitation of Liability

To the fullest extent permitted by law, the total liability of Slateweave Ltd for any claim arising from or related to the services shall not exceed the total fees paid by the Client for the project in question.

We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profit, revenue, data, or business opportunity, arising from or related to our services.

We are not responsible for

  • Content provided by the Client, including its accuracy, legality, or compliance with regulations
  • Third-party service outages (hosting providers, domain registrars, CMS platforms)
  • Changes made by the Client or third parties to the website after delivery
  • Search engine rankings or specific business outcomes, as these depend on many external factors

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
